In April 2006 a blue-ribbon advisory panel to the Securities and Exchange Commission proposed doing away with the federal ban on general solicitation and advertising for securities that are offered only to qualified investors. The panel’s rationale for lifting the ban, as contained in its official recommendation: “In all the private offerings since the beginning of regulatory time, no offeree has ever lost any money unless he or she became a purchaser.”
